Yaap Digital has acquired a 60.20% stake in Gozoop Online Private Limited and has executed a Share Purchase Cum Shareholders’ Agreement (SPSHA) on March 30, 2026.
The acquisition has followed board approval granted on March 17, 2026, and has marked the first tranche of a planned three-stage transaction to acquire 100% of Gozoop over a period of three years.
As part of the first tranche, Yaap Digital has acquired 480 equity shares, representing 60.20% of Gozoop’s paid-up share capital, for a cash consideration of Rs 36.96 crore. With this, Gozoop has become a subsidiary of the company.
The transaction has included a mix of cash and share swap components. A share swap worth Rs 7.66 crore has remained under process and is expected to be completed within 90 days of signing the agreement, while additional payments linked to excess net working capital are expected by July 2026.
Gozoop operates in the digital marketing and related services space, offering services such as social media marketing, search engine optimisation, web development, influencer marketing, and digital strategy. The company has reported a consolidated turnover of Rs 62.88 crore for FY 2024–25.
Yaap Digital has planned to complete the remaining acquisition in two additional tranches of 20% each, with valuation linked to financial performance across FY26 and FY27.
The acquisition has been positioned as part of Yaap Digital’s expansion strategy to strengthen its digital marketing capabilities and client offerings.
