Asgard Alcobev Limited has completed the acquisition of 78.90% of the equity share capital of CMJ Breweries Private Limited through a share swap arrangement. The transaction has been executed pursuant to the Share Purchase and Share Subscription Agreement (SPSSA) disclosed on February 17, 2026, under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
The preferential issue has been made to shareholders of CMJ Breweries forming part of the Non-Promoter Public category, in accordance with Chapter V of the SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2018 and the provisions of the Companies Act, 2013.
With the completion of the transaction, CMJ Breweries Private Limited has become a subsidiary of Asgard Alcobev Limited.
Incorporated on November 12, 2007, CMJ Breweries is based in Meghalaya, with its registered office in Shillong. The company operates in the alcoholic beverages industry and has been engaged exclusively in the production of beer. It has operated a brewing facility in Northeast India and has served as a contract brewing partner for Indian and international beer brands.
The company has reported standalone turnover of Rs ,200.19 lakh in FY 2024–25, compared to Rs 32,938.60 lakh in FY 2023–24 and Rs 45,337.43 lakh in FY 2022–23.
Asgard Alcobev has stated that the acquisition aligns with its strategy of diversification and entry into the alcoholic beverages segment, strengthening its presence in the Northeast market.
