Jeff Shell has stepped down as President of Paramount Skydance following a lawsuit alleging violations of Securities and Exchange Commission rules. The company stated that it found no wrongdoing and described the allegations as “baseless,” adding that Shell will take legal action to contest the claims.
According to the company, Shell chose to step down from both his executive role and board position to focus on addressing the lawsuit. Paramount acknowledged his contributions and said he would continue to be valued for his advisory role during the transition.
The development comes at a time of broader strategic shifts within the company, particularly after Paramount’s acquisition of Warner Bros Discovery earlier this year. The deal is expected to bring structural changes and new leadership dynamics, with Shell’s future role already uncertain prior to the lawsuit.
The case was filed by gambler and whistleblower R.J. Cipriani, who has alleged that Shell shared confidential information in violation of regulatory norms. Shell has not publicly commented on the matter so far. This is not the first controversy involving Shell. He previously exited his role as CEO of NBCUniversal in 2023 after admitting to an inappropriate relationship with an employee.
Paramount Skydance said, “PSKY’s Board of Directors followed standard practice and, with the assistance of independent counsel, conducted a complete and thorough review of the allegations raised in a recently filed civil complaint that Shell, PSKY’s President, had violated certain SEC disclosure rules.”
“The facts demonstrated that these allegations do not establish a securities law violation. Shell promptly notified PSKY of these accusations and is taking forceful legal action. PSKY and its named Board members will respond in the proceedings to the frivolous and baseless claims against PSKY and its named Board members and stockholders.”
