Netflix has appointed Jay Hoag as Chairman of its Board of Directors, effective following the conclusion of the company’s annual shareholder meeting. The appointment was approved by the board on May 29, 2026.
Hoag previously served as Netflix’s Lead Independent Director, a position he had held since 2012, and currently chairs the Nominating and Governance Committee. The board said it will no longer maintain a separate Lead Independent Director role, noting that Hoag qualifies as an independent director under U.S. Securities and Exchange Commission rules and Nasdaq listing standards.
A member of Netflix’s board since 1999, Hoag brings more than three decades of experience in venture capital and technology investing. He is a founding General Partner at Technology Crossover Ventures (TCV), a venture capital firm he helped establish in 1995.
Beyond Netflix, Hoag serves on the boards of Zillow Group and Peloton Interactive. He is also a member of the Investment Advisory Committee at the University of Michigan, serves on the Board of Trustees of Northwestern University, and is a member of the Board of Trust at Vanderbilt University.
Over the course of his career, Hoag has held board positions at numerous public and private companies across sectors. He holds a Bachelor of Arts degree from Northwestern University and an MBA from the University of Michigan.
The appointment follows a broader leadership transition at Netflix, with Hoag succeeding Reed Hastings as chairman. His elevation reflects the company’s continued focus on governance continuity while leveraging the experience of one of its longest-serving directors.
